End User License Agreement (EULA)

We Got Beef Co ("WGB," "we," "us," or "our") Effective Date: 08/21/2026

This End User License Agreement ("Agreement") governs your access to and use of the wegotbeef.co website, mobile applications, and related services (collectively, the "Platform"). By creating an account or otherwise using the Platform, you ("User," "you") agree to be bound by this Agreement.

1. Description of Service

WGB operates an online marketplace connecting producers, feedlots, processors, and buyers ("Users") for the purchase and sale of:

  • Live cattle and livestock lots ("Livestock")
  • Processed and boxed livestock products ("Processor Products")
  • Finished meat cuts ("Meat Cuts")

WGB provides listing, discovery, quoting, and communication tools that allow Users to negotiate and enter into transactions with one another. WGB is not a party to any transaction between a buyer and seller. WGB does not own, inspect, grade, or take title to any Livestock, Processor Products, or Meat Cuts listed on the Platform, except where explicitly stated in a separate agreement.

2. Eligibility and Accounts

  • You must be at least 18 years old and have the legal authority to enter binding agreements to use the Platform.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You agree to provide accurate, current information during registration and listing creation.
  • WGB may suspend or terminate accounts that provide false, misleading, or fraudulent information.

3. Listings and Transactions

  • Sellers are solely responsible for the accuracy of listing details, including quantity, breed, weight, condition, and location.
  • Transactions are initiated through a quote submitted by a buyer or seller on a listing. A quote does not constitute a binding sale until both parties confirm agreed terms through the Platform.
  • Once terms are confirmed, payment is completed via wire transfer directly between the parties or through WGB's designated payment flow, as applicable to the transaction type.
  • WGB does not guarantee the completion, quality, delivery, or condition of any Livestock, Processor Products, or Meat Cuts exchanged between Users.
  • Users are responsible for complying with all applicable federal, state, and local laws governing livestock transport, animal health certifications, brand inspections, and meat processing/sale regulations.

4. Payments and Financial Information

  • All payment card and banking information is collected, processed, and stored exclusively by Stripe, Inc. ("Stripe"), WGB's third-party payment processor.
  • WGB does not collect or store banking details, card numbers, or wire transfer credentials on the Platform.
  • Use of Stripe's payment services is subject to the Stripe Connected Account Agreement and Stripe's own terms of service and privacy policy.
  • WGB is not responsible for errors, delays, or losses arising from wire transfers or payment processing conducted outside of or through Stripe.

5. User Conduct

You agree not to:

  • List Livestock, Processor Products, or Meat Cuts you do not own or have authority to sell
  • Misrepresent the condition, origin, quantity, or health status of any listed item
  • Circumvent the Platform to avoid applicable fees
  • Use the Platform for any unlawful purpose, including violations of animal welfare or food safety law
  • Attempt to interfere with, disrupt, or reverse-engineer the Platform

6. Intellectual Property

The Platform, including its design, software, trademarks, and content (excluding User-submitted listing content), is owned by WGB and protected by applicable intellectual property laws. Users retain ownership of content they submit but grant WGB a non-exclusive, royalty-free license to display, reproduce, and distribute that content in connection with operating the Platform.

7. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WGB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WGB DOES NOT WARRANT THE ACCURACY OF ANY LISTING, THE CONDUCT OF ANY USER, OR THE OUTCOME OF ANY TRANSACTION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WGB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR ANY TRANSACTION BETWEEN USERS, INCLUDING BUT NOT LIMITED TO LOSSES RELATED TO LIVESTOCK HEALTH, TRANSPORT, WIRE TRANSFER, OR NON-DELIVERY.

9. Indemnification

You agree to indemnify and hold harmless WGB, its officers, employees, and affiliates from any claims, damages, or expenses arising from your use of the Platform, your listings, or your transactions with other Users.

10. Termination

WGB may suspend or terminate your access to the Platform at any time, with or without cause, including for violation of this Agreement.

11. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Texas.

12. Changes to This Agreement

WGB may modify this Agreement at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Agreement.
